Zealy, Galxe, Task On, Intract, Deform and Soquest

1. General Provisions

1.1

Description. Zealy.io, Galxe.com, TaskOn.xyz, Intract.io, Deform.cc, and Soquest.xyz are tools for Web3 communities to engage with each other and with projects. The Camino Network Foundation has decided to use the Zealy.io, Galxe.com, TaskOn.xyz, Intract.io, Deform.cc, and Soquest.xyz applications (the "Platforms") to promote the Camino Network project through the educational program developed and proposed by the Camino Network Foundation. The Camino Network Foundation may decide to distribute different types of rewards among the Users (as defined below) of the Platforms, such as Camino Tokens, the native token of the Camino Network.

1.2

Procedure. Zealy.io, Galxe.com, TaskOn.xyz, Intract.io, Deform.cc, and Soquest.xyz are the owners of the respective Platforms, and the websites https://zealy.io, https://www.galxe.com/, https://taskon.xyz/, https://www.intract.io/, https://www.deform.cc/, and https://soquest.xyz/ through which the Users (as defined below) can access the Platforms, while the Camino Network Foundation is the organizer of the airdrop contest, subject to the conditions set out below:

• a) The user ("User") who wishes to participate in the airdrop contest on the Platforms must enter Zealy.io, Galxe.com, TaskOn.xyz, Intract.io, Deform.cc, and/or Soquest.xyz websites and connect his/her email and/or Discord account.
• b) Once connected, the User must follow all instructions provided through the Platforms and add his/her Camino Wallet to his/her account.
• c) Certain Users of the Platforms may be eligible to receive free, automatic distributions of the Camino Tokens and/or other rewards (collectively, the "Rewards") from time to time, at the sole discretion of the Camino Network Foundation, in accordance with these Terms and Conditions.
• d) Rewards will be credited to each User's Camino wallet, on a date and time determined by the Camino Network Foundation. Rewards are not transferable and no substitution or cash equivalent is permitted.
• e) The decisions of the Camino Network Foundation relating to or in connection with the Rewards are final, conclusive, and binding. The Camino Network Foundation will not entertain any request for appeal or review.

1.3

Contractual Agreement. These terms and conditions (the "Terms and Conditions"), and any other referenced or incorporated herein, constitute a legally binding contract between you, as a User of the Platforms, and the Camino Network Foundation. By using the Platforms, you are entering into a binding agreement and shall be deemed to have expressly read, understood, and agreed to be bound by these Terms and Conditions in addition to the Zealy.io, Galxe.com, TaskOn.xyz, Intract.io, Deform.cc, and Soquest.xyz terms and conditions (the "Platform Agreements") applicable in your jurisdiction, which you accepted to gain access to the Platforms and which are available in the same. In the event of any inconsistency between the Platform Agreements and these Terms and Conditions, these Terms and Conditions shall prevail.

YOUR PARTICIPATION IN THE PLATFORMS IS ENTIRELY VOLUNTARY, BUT IF YOU ARE PARTICIPATING IN THE PLATFORMS, YOU MUST STRICTLY ADHERE TO THESE TERMS AND CONDITIONS AND THE PLATFORM AGREEMENTS. IF, AS PART OF THE VOLUNTARY PARTICIPATION, YOU MAY RECEIVE A CERTAIN AMOUNT OF CAMINO TOKENS. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ACCEPTING THE TERMS AND CONDITIONS, YOU CONFIRM THAT YOU HAVE READ THESE TERMS AND CONDITIONS AND THAT YOU AGREE TO BE BOUND BY THEM.

2. Eligibility Criteria

2.1

You represent and warrant that each of the following statements is true and accurate and all of the information you provided was and shall remain true and complete to (i) access and use the Platforms and (ii) accept the Rewards:

• (i) You are an existing User of the Platforms in compliance with the Platform Agreement and have read, understand, and agree with the Privacy Policy and Cookie Policy of the Platforms (all together, the "Platform Documents");
• (ii) You are of legal age to form a binding contract (at least 18 years old in most jurisdictions);
• (iii) You have the right, full power, and authority to enter into these Terms and Conditions;
• (iv) These Terms and Conditions constitute a legal, valid, and binding obligation on you;
• (v) No consent, authorization, license or approval of or notice to any governmental authority is required;
• (vi) You are not a citizen of, or resident in or located in, or incorporated or otherwise:
• a. listed on any of the following lists (each a "Sanctions List"): the Consolidated United Nations Security Council Sanctions List; the Specially Designated Nationals and Blocked Persons List or the Sectoral Sanctions Identification List maintained by the US Office of Foreign Assets Control (OFAC); the Consolidated List of Persons, Groups and Entities Subject to EU Financial Sanctions; the Consolidated List of Financial Sanctions Targets or List of persons subject to restrictive measures given Russia's actions destabilizing the situation in Ukraine maintained by the UK Treasury; the Overall List of Sanctioned Individuals, Entities and Organizations maintained by the Swiss State Secretariat for Economic Affairs (SECO); Ordinance lists of the Swiss Federal Council; or any similar list maintained by, or public announcement of sanctions made by, any other Sanctions Authority (as defined below);
• b. owned or controlled by, or acting on behalf of or for the benefit of, any person on a Sanctions List;
• c. located in, resident in, or incorporated under the laws of (as applicable) Syria, Iran, Cuba, Crimea or North Korea, or any other country or territory which, after the Effective Date, becomes the target of such comprehensive, country-wide or territory-wide Sanctions (as defined below) as currently apply to the aforementioned territories; or
• d. the target of any sanctions laws, regulations, embargoes, or restrictive measures (Sanctions), as amended from time to time, administered, enacted, or enforced by: the United Nations, the United States, the European Union, or any Member State thereof, the United Kingdom, Switzerland or the respective Governmental Authorities and agencies of any of the foregoing responsible for administering, enacting or enforcing Sanctions, including without limitation, OFAC, the US Department of State, the United Kingdom Treasury or the SECO (Sanctions Authority).
• (vii) You are not acting out under an alias, concealing your personal identity, or representing other persons besides your own;
• (viii) You are not using any type of bots or script to benefit from the Platforms by having multiple identities;
• (ix) You are the beneficial owner of any Rewards subject to these Terms and Conditions or you have the full authority to dispose and manage the Rewards in connection with your participation in the Platforms;
• (x) You have read, understand, and agree to the Camino Privacy and Cookie Policy and the Camino Wallet terms and conditions;
• (xi) You will comply with any laws applicable to you and not engage in any illegal activities; and
• (xii) You shall indemnify and hold harmless the Camino Network Foundation from any third-party claims (including reasonable attorney's costs) raised against Camino Network Foundation based on an alleged infringement of the above representations and warranties.

2.2

If any restrictions on the use of the Platforms and/or accepting the Rewards do apply to you, you are prohibited from accessing or using the Platforms. If you are uncertain, please seek independent legal advice. The Camino Network Foundation is not responsible for determining your legal standing in connection with your access to the Platforms and/or acceptance of the Rewards in your jurisdiction.

2.3

Notwithstanding your meeting the eligibility criteria above listed, the Camino Network Foundations reserves the right to refuse your request to use and access the Platforms, to suspend your access to the Platforms, or to terminate your participation at any time in our sole discretion. Additionally, the Camino Network Foundation reserves the right to change the eligibility criteria at any time without prior notice.

3. Prohibited Activities

By accessing and using the Platforms, you agree that you will not do any of the following:

• (i) Engage in any activity that would violate or assist in the violation of any law, statute, regulation, or ordinance;
• (ii) Violate or breach these Terms and Conditions, any other agreement or set of applicable terms and conditions, our Privacy and Cookie Policy, our Wallet Terms and Conditions, and the Platform Documents; and
• (iii) Attempt to gain unauthorized access to the Camino Network, system, or websites or Platforms.

4. Suspension and Termination

4.1

The Camino Network Foundation reserves the right to suspend, restrict, or terminate your participation in the Platforms and/or receive any Rewards if:

• (i) We are required to do so by a court order, government order, or a facially valid subpoena;
• (ii) We reasonably suspect you of engaging in prohibited activities as described in section 3 above of these Terms and Conditions; or
• (iii) We reasonably suspect you of otherwise being in violation of these Terms and Conditions or other applicable terms and conditions related to your participation in the Platforms.

4.2

In the event of suspension, restriction, or termination of your participation in the Platforms due to non-compliance with these Terms and Conditions, in particular the conditions of eligibility, and the Platforms Documents, you undertake to return all the Rewards received in your wallet within a maximum of twenty-four (24) hours from the date of notification of such suspension, restriction or termination.

4.3

Zealy.io, Galxe.com, TaskOn.xyz, Intract.io, Deform.cc, and Soquest.xyz are the owners of the Platforms, therefore if you have any questions regarding the Platforms or need assistance in connection with the functioning or malfunctioning of the Platforms, please contact zealy.io at hello@zealy.io, galxe.com at support@galxe.com, TaskOn.xyz at contact@taskon.xyz, Intract.io at support@intract.io, Deform.cc at gm@deform.cc, and Soquest.xyz at the support address indicated in its Platform.

5. Limitation of Liability

5.1

NEITHER THE CAMINO NETWORK FOUNDATION NOR ANY OTHER PARTY INVOLVED IN THE ADMINISTRATION OF THE AIRDROP CONTEST AND/OR DISTRIBUTION OF REWARDS WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND CONDITIONS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE CAMINO NETWORK FOUNDATION HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT WILL THE CAMINO NETWORK FOUNDATION'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE TOTAL AMOUNT OF THE DISTRIBUTED REWARDS TO THE USER.

5.2

THE CAMINO NETWORK FOUNDATION IS NOT RESPONSIBLE FOR TRANSMISSION ERRORS RESULTING IN OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATIONS OR TRANSMISSION, THEFT OR DESTRUCTION, OR UNAUTHORIZED ACCESS TO OR ALTERATIONS OF MATERIALS, OR FOR TECHNICAL, NETWORK, TELEPHONE EQUIPMENT, ELECTRONIC, COMPUTER, HARDWARE OR SOFTWARE MALFUNCTIONS OR LIMITATIONS OF ANY KIND, OR INACCURATE TRANSMISSIONS OF OR FAILURE TO RECEIVE ENTRY INFORMATION BY THE CAMINO NETWORK FOUNDATION ON ACCOUNT OF TECHNICAL PROBLEMS OR TRAFFIC CONGESTION ON THE PLATFORMS, CAMINO NETWORK FOUNDATIONS WEBSITES OR AT ANY WEBSITE OR ANY COMBINATION THEREOF. THE CAMINO NETWORK FOUNDATION IS ALSO NOT RESPONSIBLE FOR INJURY OR DAMAGE TO YOUR COMPUTER OR ANY OTHER DAMAGE RESULTING FROM DOWNLOADING ANY MATERIALS IN CONNECTION WITH THE PLATFORMS.

5.3

THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND THE CAMINO NETWORK FOUNDATION.

6. Indemnification

You agree to release, indemnify, defend and hold the Camino Network Foundation and its parent, affiliates, subsidiaries, directors, officers, employees and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Platforms and/or the Rewards, harmless from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in the Platforms, or acceptance or use of the Platforms, or acceptance of the Rewards, including without limitation (i) any condition caused by events beyond the Camino Network Foundation's control that may cause the Platforms to be disrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of any benefit you may receive in connection with the Platforms, or acceptance, possession, or use of the Platforms, or from participation in the Platforms; and (iii) any printing or typographical errors in any materials associated with the Platforms.

7. Legal and Regulatory

7.1

The regulatory status of the Rewards is currently unsettled, varies among jurisdictions, and is subject to significant uncertainty. It is possible in the future, certain laws, regulations, policies, or rules relating to the Rewards, blockchain technology, or blockchain applications may be implemented which would directly or indirectly affect or restrict the access and/or use of the Platforms and/or the acceptance of the Rewards.

7.2

YOU ARE RESPONSIBLE FOR DETERMINING WHETHER THE USE OF THE PLATFORMS AND ANY RELATED REWARDS ARE LEGAL IN YOUR JURISDICTION AND YOU SHALL NOT USE THEM SHOULD SUCH USE BE ILLEGAL IN YOUR JURISDICTION. IF YOU ARE UNCERTAIN, PLEASE SEEK INDEPENDENT LEGAL ADVICE.

7.3

We may be forced to suspend, discontinue, or change aspects of the Platforms and the Platforms in any jurisdiction without notice and whatever reason if demanded by regulatory authorities.

8. Miscellaneous

8.1

Uncertainty in the treatment of taxes related to the Rewards may expose you to future or unknown tax obligations. It is your sole responsibility to determine what taxes, if any, arise from your use of the Platforms. Further, you are solely responsible for reporting and paying any applicable taxes. The Camino Network Foundation will not determine whether, or to what extent, you are liable for taxes, report them, or withhold them.

8.2

The parties are independent contractors. These Terms and Conditions are an agreement at arms' length between the parties and do not constitute a partnership, association, or joint venture under any applicable law. Consequently, the provisions of these Terms and Conditions shall not, under any circumstances, be interpreted as creating any such relationship between the parties. Neither party may bind the other in any manner whatsoever or in favor of anyone whomsoever.

8.3

The failure of any of the parties to avail itself or to enforce any of the provisions of these Terms and Conditions or any rights with respect thereto shall in no way be considered to be a waiver of such provisions or rights, or in any way to affect the validity of these Terms and Conditions. No waiver shall be effective unless expressly made in writing and signed by an authorized representative of the waiving party.

8.4

If any provision of these Terms and Conditions is held to be void, invalid, or inoperative, the remaining provisions of these Terms and Conditions shall not be affected and shall continue to be in effect, and the invalid provision shall be deemed modified to the least degree necessary to remedy such invalidity.

8.5

You may not assign, delegate, or transfer any rights or obligations under these Terms and Conditions. Any such attempted assignment, delegation, or transfer shall be null and void. The Camino Network Foundation reserves the right to assign, delegate, or transfer these Terms and Conditions or any rights and/or obligations hereunder without restriction, including without limitation to affiliate or subsidiaries.

8.6

All provisions of these Terms and Conditions which by their nature extend beyond their termination, including, without limitation, provisions pertaining to suspension and termination, shall survive such termination.

8.7

In the event there are conflicts between these Terms and Conditions and the Platform Documents, these Terms and Conditions shall control to the extent of the conflict, except for those aspects relating to the Platforms (in which case the Platform Documents will control).

8.8

The headings used herein are inserted only as a matter of convenience and for reference only. They shall not affect the construction or interpretation of these Terms and Conditions.

8.9

The Camino Network Foundation may update these Terms and Conditions from time to time. We will notify you of any changes by posting the new Terms and Conditions on the Platforms. These changes are effective immediately after they are posted.

9. Applicable Law and Jurisdiction

9.1

These Terms and Conditions shall be governed by and construed by the substantive laws of Switzerland without any reference to its conflict of law provisions. The provisions of the United Nation Convention on contracts for the International Sale of Goods (CISG) shall not apply.

9.2

Any disputes arising out of or in connection with these Terms and Conditions and contracts entered into thereunder shall be submitted to the sole and exclusive jurisdiction of the courts of the city of Zug.
